Welcome to SmartGuppy (“SmartGuppy”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, services, and related features (collectively, the “Platform”).

By using the Platform, you agree to these Terms. If you do not agree, please discontinue use of the Platform.

1. Definitions

• Contributor: A person who uploads, posts, or submits educational materials, articles, or other content (“Resources”) to the Platform.
• User: Any person who accesses, browses, downloads, or uses the Platform or Resources.
• Resource(s): Any material, content, file, article, image, or media uploaded or shared through the Platform.
• You / your: Refers to either a Contributor or User, as applicable.

2. Use of the Platform

2.1 Eligibility
You must be at least eighteen (18) years old or have parental or guardian consent to use the Platform. By using the Platform, you confirm that you meet this requirement.

2.2 Account Responsibility
If you create an account, you are responsible for maintaining its confidentiality and for all activities that occur under your account. You must notify us promptly if you suspect any unauthorised use of your account.

2.3 Acceptable Use
You agree not to:
(a) upload or share content that is unlawful, defamatory, obscene, or infringes any third-party rights;
(b) interfere with the Platform’s operation, security, or other users’ experience;
(c) attempt to reverse engineer, copy, or misuse any part of the Platform or its code; or
(d) use the Platform for commercial, promotional, or advertising purposes unless expressly permitted by SmartGuppy.

3. Contributor Submissions

3.1 Ownership and Grant of Rights
When you submit a Resource, you retain ownership of your content. However, by uploading or submitting a Resource, you grant SmartGuppy a worldwide, royalty-free, perpetual, non-exclusive licence (with the right to sublicense) to use, reproduce, modify, adapt, publish, distribute, publicly display, and communicate the Resource for the purposes of:
(a) operating and promoting the Platform;
(b) sharing your Resource with Users; and
(c) showcasing or marketing SmartGuppy’s educational initiatives.

3.2 Attribution
Where practicable, SmartGuppy will credit Contributors by name when displaying their Resources, unless you request otherwise.

3.3 Contributor Warranties
You represent and warrant that:
(a) you own or have the necessary rights and permissions to submit the Resource;
(b) your Resource does not infringe any copyright, trademark, or other rights of any person; and
(c) your Resource complies with all applicable laws and these Terms.

3.4 Removal of Content
SmartGuppy reserves the right (but is not obliged) to remove or disable access to any Resource that, in its judgment, violates these Terms or applicable law. You may request removal of your Resource by contacting us through our contact form.

4. Intellectual Property

4.1 Platform Content
All trademarks, logos, interface designs, and original content on the Platform (excluding user submissions) are owned by or licensed to SmartGuppy and are protected by intellectual property laws. You may not reproduce, modify, or reuse such content without prior written permission.

4.2 Use of Resources
Unless otherwise stated, Resources shared on the Platform are provided for personal and educational use only. Users may view, download, or print Resources solely for learning or classroom purposes and must retain any author attribution or notices included.
You may not commercially exploit, modify, or redistribute Resources without the Contributor’s and SmartGuppy’s consent.

5. Disclaimers and Limitation of Liability

5.1 Accuracy of Resources
SmartGuppy strives to ensure quality but does not warrant that any Resource or information on the Platform is accurate, complete, or up-to-date. All Resources are provided “as is” and “as available”.

5.2 General Disclaimer
To the fullest extent permitted by law, SmartGuppy disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

5.3 Limitation of Liability
SmartGuppy, its officers, employees, and affiliates shall not be liable for any loss, damage, or claim arising from:
(a) your use of or reliance on any Resource;
(b) unauthorised access to your account; or
(c) interruptions, errors, or modifications to the Platform.

5.4 Indemnity
You agree to indemnify and hold harmless SmartGuppy, its affiliates, officers, and employees from any claims, losses, or expenses arising from your violation of these Terms or infringement of third-party rights.

6. Reporting Infringements

If you believe that any Resource infringes your copyright or other rights, please notify us through our contact form with sufficient details of the alleged infringement.
SmartGuppy will investigate and take appropriate action, including removal of the infringing content where necessary.

7. Termination

SmartGuppy may suspend or terminate your access to the Platform at any time for violation of these Terms or for operational or maintenance reasons.
You may stop using the Platform at any time. Termination shall not affect any rights or obligations that accrued prior to termination.

8. Modifications

SmartGuppy may update these Terms from time to time. The latest version will always be available on this page with the date of the last update indicated above.
Your continued use of the Platform after any updates constitutes your acceptance of the revised Terms.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Singapore courts.
